Terms of Service

Please read these Terms of Service carefully before engaging our services. By accessing or using our services, you agree to be bound by these terms.
1. Acceptance of Terms
By engaging the services of this agency, you confirm that you have read, understood, and agree to these Terms of Service. These terms constitute a legally binding agreement between you (the client) and the agency. If you do not agree to any part of these terms, you must not use our services.
2. Services Description
The agency provides social media strategy, content creation, paid advertising management, and social media management services. The specific scope of services, deliverables, and timelines will be defined in a separate Statement of Work or Service Agreement. The agency reserves the right to modify or discontinue any service with reasonable notice to the client.
3. Client Responsibilities
The client agrees to provide accurate information, timely access to required accounts and assets, and prompt approval of content within agreed timelines. Delays caused by the client may affect delivery schedules without constituting a breach on the part of the agency. The client is responsible for ensuring that all materials they provide do not infringe on any third-party rights.
4. Payment Terms
Invoices are issued monthly in advance unless otherwise agreed. Payment is due within 14 days of invoice date. Late payments may result in a suspension of services. All fees are exclusive of applicable taxes. Advertising spend is billed separately and requires pre-payment unless a credit arrangement has been established in writing.
5. Intellectual Property
Upon receipt of full payment, ownership of all bespoke creative assets produced for the client transfers to the client. The agency retains the right to use completed work in its portfolio and case study materials unless otherwise agreed in writing. Any third-party assets, tools, or platforms used in delivering services remain subject to their respective licensing terms.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes but is not limited to business strategies, financial data, customer information, ad performance data, and creative briefs. This obligation survives the termination of any service agreement.
7. Ad Performance & Results
The agency will apply best professional practices to achieve the client’s social media and advertising objectives. However, the agency does not guarantee specific performance outcomes, ROAS targets, follower counts, or revenue results. Platform algorithm changes, market conditions, and client-side factors may affect results beyond the agency’s control.
8. Limitation of Liability
To the maximum extent permitted by law, the agency’s total liability to the client shall not exceed the total fees paid in the three months preceding the claim. The agency shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, profits, or business opportunity.
9. Termination
Either party may terminate a service engagement by providing 30 days’ written notice. The agency may terminate immediately if the client fails to pay undisputed invoices or breaches these terms. Upon termination, the client is responsible for all fees incurred up to the termination date. The agency will provide a handover of any active campaigns and transferable assets.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which the agency is registered. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
